There are incidences when an active M&A transaction can become “stuck” or the jigsaw does not quite fit together, to enable matters to progress.

We have extensive experience of working alongside other lead advisors, through our own experience in such roles, to help progress a transaction that may be stalling by providing the relevant support services required to unlock any issues.

Management Support and Advisory

Within SMEs, there are often senior management teams who currently do not hold an equity stake in a business but are actively involved in maintaining the business’ current levels of performance.  These management teams are often trusted by the ultimate shareholders and invariably a viable option to take over the business and allow the business owners to achieve their exit plans.

In some cases, MBO’s are vendor initiated but the advisors on the transaction are engaged by the shareholders and not the management teams.

Here at Falcon Corporate Advisory, we work alongside lead advisors on these transactions and provide an independent advisory role for the management teams.  This includes:

  • Interrogating and challenging business plans and forecasts to ensure they stand up to scrutiny from funders and / or equity investors;
  • Providing advice on the reasonableness of the deal proposed by the vendor’s advisors leading on the transaction and, where necessary, negotiating on key terms (including covenants);
  • Preparing management teams for presentations to funders and / or equity investors;
  • Assisting the management team throughout the deal process, including pulling together information required for the extensive due diligence process, and freeing up their time to run the business and enabling them to capitalise on commercial opportunities to push the business forward;

Advice on Equity Investment and Debt Fundraising

Whether a business is seeking equity investment or debt fundraising, to support an MBO or growth plans, the process involves a number of stages to maximise the chances of success.  This is the same for new fundraising or refinance solutions, be that funding for start-ups, raising new or additional funding or refinancing from an existing lender.

Here at Falcon Corporate Advisory, we get actively involved in the fundraising process to provide advisory services to the business on key elements within indicative terms, assisting on due diligence procedures, interrogating and challenging forecasts, sensitising forecasts to ensure bank covenants are fair and reasonable and negotiating terms to ensure maximum support from the fundraising parties involved.

We also provide lender services to debt funders and equity investors, offering an intermediary role between the business and this key stakeholder to ensure that both parties are able to maintain clear focus through appropriate monitoring process and information packs.
